A nominee director of operations is a person who comes as a result of legal formalities that a local director be in any company. Normally, he will not be active in the running of the company day in and out and only lends his name for the same purpose. Major tasks for this position are as follows:
- Statutory Compliance: The person will ensure that the company discharges all the legal obligations incumbent upon it, including the filing of annual returns, maintenance of statutory records, and doesn’t commit an offense under the Companies Ordinance.
- Representation: Will represent the official face of the company in official records and government files. He will not have any say or become involved in the management or any decision-making for the company.
- Anonymity: As a nominee, the beneficial directors or owners are left unknown—mostly for privacy and strategic importance.
- Signing Of Documents: Execution of documents, agreements, and the like concerning the company with appropriate supervision of beneficial owners or main directors.
- Government Deposits: Serve as the point of contact with the government authorities; generally under the supervision from competent management.
All these responsibilities may accrue onto the nominee director. However, in most cases, they cannot have influence over the activities of the company and can act at will in accordance with or according to the dictates they receive from the actual directors or shareholders.
